Terms & Conditions

1. Acceptance

By creating an account or making a payment you accept these terms, our Privacy Policy, Refund Policy, Cancellation Policy and Delivery Policy. If you do not accept them, do not use the service.

2. The service

SIYA MP Global Systems (Pty) Ltd provides a digital platform including the SIYA AI Assistant, Projects, Circles collaboration, Connect, Learn courses, Business tools and related APIs. Features and pricing may evolve; we will not materially reduce paid features without notice.

3. Accounts and eligibility

• You must be 16+ (or the age of digital consent in your country) to use the service.
• You are responsible for maintaining the confidentiality of your credentials and all activity under your account.
• One person or legal entity per account unless a Circles or Enterprise seat model applies.

4. AI services — acceptable use

The AI Assistant produces automated output. You must not use it to:

• Generate content that is unlawful, defamatory, discriminatory, harassing, or sexually explicit involving minors.
• Produce malware, phishing content, weapons instructions or content that materially aids illegal activity.
• Impersonate any person or misrepresent AI-generated content as human-authored in regulated contexts (medical, legal, financial advice) without appropriate professional oversight.
• Reverse engineer, scrape at scale, or use output to train competing foundation models.

AI output can be inaccurate. You are responsible for reviewing and validating output before relying on it for material decisions.

5. Courses and certificates

Courses are provided for education. Certificates confirm completion of the course as presented on the platform; they are not accreditation and do not replace formal qualifications unless explicitly indicated.

6. Payments

• Payments are processed by PayFast (PayFast Merchant #36020537). You accept PayFast's own terms at checkout.
• Prices are quoted in ZAR and include VAT where applicable.
• Subscription refunds, renewals and cancellations follow our Refund and Cancellation policies.

7. Intellectual property

The platform, brand, software and content (excluding your content and AI output derived primarily from your prompts) are owned by SIYA MP Global Systems (Pty) Ltd. You retain ownership of your content. You grant us a limited licence to host, process and display your content solely to provide the service.

8. Prohibited conduct

• Attempting to breach security, bypass RLS or access data of other users.
• Using the platform to distribute spam or unsolicited marketing.
• Uploading malware, illegal content, or content you do not have rights to.
• Reselling access without a written partner or reseller agreement.

9. Account suspension and termination

We may suspend or terminate accounts that violate these terms, applicable law, or PayFast merchant rules, with or without notice depending on severity. Where possible we provide 7 days written notice for non-critical violations.

10. Limitation of liability

The service is provided "as is". To the maximum extent permitted by law, SIYA MP Global Systems (Pty) Ltd is not liable for indirect, incidental, special, consequential or punitive damages, or loss of profits, revenue, data or goodwill. Our aggregate liability for any claim is limited to the amounts paid by you to us in the 12 months preceding the claim.

11. Indemnity

You indemnify SIYA MP Global Systems (Pty) Ltd against claims arising from your misuse of the service, breach of these terms or violation of third-party rights.

12. Governing law

These terms are governed by the laws of the Republic of South Africa. Disputes are subject to the exclusive jurisdiction of the South African courts, without prejudice to mandatory consumer protection rights in your jurisdiction.

13. Changes

We may update these terms. Material changes will be notified by email or in-app at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
